CareerFinders, on behalf of our client, a long-established Group with operations in more than 20 jurisdictions throughout the world, we are seeking to recruit a Senior Corporate Governance Manager to join their growing team based in Limassol. As a Senior Corporate Governance Manager, you will assist the General Counsel with administrative and clerical tasks to support smooth operations, collaborating with company secretaries across the Group, and serving as a key contact for handling due diligence and KYC requests concerning the Group’s companies. Our client is seeking applicants who are ideally educated to degree level in Business Administration or another similar field, who possess similar experience working for a multi-jurisdiction employer. Proven knowledge of MS Office applications, along with proficiency in database management and record-keeping is essential, along with excellent verbal and written communication skills in English. An attractive remuneration and benefits package based on skills and experience.&nbsp;Key Duties/Responsibilities:&nbsp;<ul><li>Providing statutory information to support third party (e.g. bank, law firm, service provider) due diligence, e.g. in case of bank account opening requests or engagement of third parties.</li><li>Ensuring due diligence held on Senior Management is up-to-date and arrange for renewal, certification/notarization/attestation where necessary.</li><li>Maintaining and managing accurate statutory records, including registers of shareholders, directors and company secretaries as well as authorized signatories.</li><li>Updating and creating structure charts.</li><li>Assisting Group companies with filing of contracts, maintaining a record of and monitoring all existing agreements.</li><li>Assisting in the preparation and maintaining of templates for board resolutions, minutes, invitations, directors’ consent and resignation letters.</li><li>Preparing Board Meeting Notices, maintaining agendas, and assisting with meeting logistics.</li><li>Assisting in circulation and filing of corporate documents and obtaining consent/signatures and, where required, submitting to corporate registers or other third parties.</li><li>Making submissions and filings to registrars and public authorities as required.</li><li>Assisting in any trademark-related filings and maintaining records of intellectual property registrations.</li><li>Undertaking annual data checks on Group companies for sign off by directors.</li><li>Undertaking all other relevant admin support the General Counsel and contacts in Group companies.</li></ul>&nbsp;Key Skills/Experience:&nbsp;&nbsp;<ul><li>Bachelor’s degree in Business Administration, Business Management or another relevant field is desirable.</li><li>Experience working for a multi-jurisdiction employer is required.</li><li>Strong administration skills.</li><li>Excellent interpersonal skills.</li><li>Proven experience working with MS Office applications, as well as database management.</li><li>Effective written communication skills.</li><li>Excellent accuracy, attention to detail and organizational skills.</li><li>Strong work ethic and the ability to address multiple tasks in a short time frame and being able to meet strict deadlines.</li><li>Ability to exhibit a high level of confidentiality and professionalism.</li><li>Confidence in liaising with members of the Senior Management Team.</li><li>Ability to communicate and work well with colleagues in the local office and in other entities outside Cyprus, offering support and flexibility where needed.</li></ul> &nbsp;To apply for this vacancy, please send your CV, along with any covering letter to&nbsp;<a href="mailto:jobs@careerfinders.com.cy">jobs@careerfinders.com.cy</a>&nbsp;quoting the reference number ERG8464.
